1.1 This Acceptable Use Policy regulates the modalities of use of the “VisioNize Lab Suite Services” (“Service”) of Eppendorf SE, Barkhausenweg 1, 22339 Hamburg, Germany (hereinafter referred to as "Eppendorf", "we" or "us"), on the one hand, and the users of the Service (hereinafter referred to as "Users") on the other hand. The Service is provided to customers of Eppendorf (each a "Client") and the Users are the individual persons using the Service.
1.2 To offer the Service to the Client and fulfil the contractual obligations, Eppendorf creates an account for the Client (“Tenant ID”). Via this Tenant ID, Employees can create own accounts (“User Account”) and access the Service. The User does not have any claim for use of the Service in its own right.
2.1 The creation of the User Account requires the entry of credentials; in the case of normal Users, their business email address and their name and on voluntary basis their business telephone number.
2.2 The naming of misleading information, in particular data of third parties, is forbidden to the Users. The registration may only be done by providing the User´s individual business email address, individual business telephone number and real name. The User may not provide an email address, which has already been assigned to any other User Account.
2.3 There is no right to register. Eppendorf reserves the right to refuse the creation of a User Account in individual cases without giving reasons to the User in question.
3.1 The User is prohibited from disclosing their access data to any third party. They must store all credentials carefully and protect them against unauthorized access.
3.2 The User may use the Service only in accordance with this Acceptable Use Policy. They may not reverse engineer, decompile, disassemble, or work around technical limitations, except to the extent that German law permits it despite these limitations.
3.3 The User shall not gain access to the Service by any other means than through his registered credentials, especially not by circumventing or disclosing the authentication or security of the Tenant ID or the User Account. The User may not use false identity or other´s credentials to gain said access.
3.4 When creating, uploading and publishing content, the User is solely responsible for the content and design of the User´s content. In no case does Eppendorf check the content or design created by the User.
3.5 When using the Service, Users must comply with applicable law and the rights of third parties; in particular, they are prohibited from doing the following:
3.6 The Users are obliged to keep the information connected with the User Account up to date during the entire term of the contract, i.e. to adapt them accordingly to changed contact information.
3.7 If the User has reason to believe that a third party is using his User Account, they are obliged to change his access data immediately.
3.8 Eppendorf reserves the right to completely or partially shut down access to the Service or delete the User Account or delete any content prohibited according to section 3.5, at any time or to expand the offered range of services under the Service for the purpose of improving the use of the Service without having to state the reason.
3.9 Users are prohibited from continuing to use the Service after leaving employment with the Client. User Accounts are not transferable and must be deleted and newly created when a User leaves the employment of the Client.
4.1 All rights, title and interests in and to the Service, including any know-how and any part and improvement thereof, and all intellectual property rights in or to the foregoing shall remain wholly vested in Eppendorf, its business partners, and/or licensors.
4.2 The Service in its entirety is to be treated as strictly confidential. In particular, it is not allowed to grant access to third parties or to provide screenshots or further information of the Service to third parties.
4.3 The User will not attempt nor permit anyone else to attempt to modify, copy for distribution, reverse engineer, reverse compile, or disassemble the code of the Software. This does not limit User’s rights under sec. 69d and 69e of the German Copyright Act (Urheberrechtsgesetz).
4.4 The User agrees to reproduce and include Eppendorf’s trademarks, copyrights, and other proprietary notices on all copies of the Software or parts thereof.
4.5 The User may not publicly disclose directly or through a third party the results of any comparative or compatibility testing, benchmarking, or evaluation of the Service, unless the disclosure includes all information necessary for Eppendorf or a third party to replicate the test.
5.1 Information about collecting, processing and using personal data by Eppendorf are laid down in the privacy policy (which you can find here).
5.2 Eppendorf reserves the right to supplement, modify or replace the clauses of this Acceptable Use Policy. In this event, the User will be informed about the changes by a clear reference via email.
5.3 This acceptable use policy is subject to German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the German conflict of law provisions.
